Terms of Service

These Terms of Service ("Terms") govern your use of TradeHarbor, including the website at tradeharbor.co and the TradeHarbor application (together, the "Service"). The Service is provided by Constellation Strategic Capital LLC ("we," "us," or "our"). These Terms are an agreement between you and Constellation Strategic Capital LLC. By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

1. What TradeHarbor is — and isn't

TradeHarbor is a record-keeping and analytics tool for your own trading activity. It lets you log and import trades, keep a journal, track account rules, and view statistics.

TradeHarbor does not provide investment, financial, legal, or tax advice; does not recommend any security, contract, strategy, or trade; does not execute, route, or manage orders; and never controls your brokerage or prop firm accounts. If you choose to connect a broker account, the Service only reads your account list and trade history (and, for some platforms, price history) using credentials you provide; it cannot place, change, or cancel orders. Nothing in the Service is an offer or solicitation to buy or sell any financial instrument. You are solely responsible for your trading decisions.

2. Accuracy of calculations

Statistics, P&L figures, position sizes, and prop account rule tracking (including drawdown thresholds, daily loss limits, profit targets, and consistency checks) are calculated from the data you provide and the settings you choose. They may differ from your broker's or prop firm's official figures — for example, because a firm measures drawdown on intraday unrealized values, applies rules differently, or because the data you entered or imported is incomplete or incorrect. Always rely on your broker's and firm's official records and rules. We are not responsible for losses, failed evaluations, or account closures arising from reliance on the Service.

You own the trading data, journal entries, and other content you put into the Service ("Your Data"). You grant us a limited license to store, process, and display Your Data solely to operate and improve the Service for you. We don't sell Your Data. You can export Your Data or delete your account at any time from Settings. Our handling of personal information is described in the Privacy Policy.

5. Acceptable use

You agree not to: attempt to access other users' data or any non-public part of the Service; probe, scan, or test the Service's security without written permission; interfere with or overload the Service; use automated means to create accounts or scrape the Service; upload unlawful content or content you don't have the right to use; or resell or sublicense the Service.

6. Plans, trials and billing

Free plan. TradeHarbor offers a Free plan with the features described on our pricing page, including one active trading account. We may change what the Free plan includes with notice.

Pro trial. New accounts get a 14-day trial of TradeHarbor Pro. No payment details are needed for the trial, and you are not charged when it ends: your account moves to the Free plan unless you choose to subscribe.

Subscriptions. TradeHarbor Pro is a subscription billed monthly or yearly at the price shown before you subscribe, plus any applicable taxes. Payments are processed by Stripe; we do not store your full card details. Subscriptions renew automatically at the end of each billing period until you cancel. You can cancel at any time from Settings → Plan & billing → Manage billing; after cancelling, Pro stays on until the end of the period you've paid for, and you won't be charged again. Except where required by law, payments are non-refundable and we don't give refunds or credits for partial periods.

Founding-member pricing. Where we offer a founding-member discount, it applies for as long as that subscription stays active without interruption. If you cancel and later subscribe again, the price then in effect applies.

Price changes. We may change Pro prices. We'll email you at least 30 days before a new price applies to your subscription, and it takes effect at your next renewal after that notice, so you can cancel before it applies.

Failed payments. If a renewal payment fails, Stripe will retry it and we'll ask you to update your card. If it still can't be collected, your account moves to the Free plan.

When Pro ends. When a trial or subscription ends, nothing is deleted. Pro-only features stop working, accounts beyond your one Free account become read-only, and all of Your Data can still be viewed and exported.

Beta features. Features labelled beta (for example some broker connections) may change or have bugs. Please report problems with the in-app help button.

Early access. We may offer Pro subscribers early access to features in development. Early access is offered when and if those features are ready; their availability, timing and scope aren't guaranteed, and they aren't part of what a subscription includes until they are released. Any feature that could act on your brokerage or prop firm account will be opt-in and subject to additional terms.

7. Availability and changes

We work to keep the Service available and your data safe, but the Service may occasionally be unavailable for maintenance or reasons outside our control. We may add, change, or remove features. We'll give reasonable notice before removing a feature that materially reduces a paid plan.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. TRADING INVOLVES SUBSTANTIAL RISK OF LOSS. PAST PERFORMANCE, INCLUDING PERFORMANCE SHOWN IN THE SERVICE, IS NOT INDICATIVE OF FUTURE RESULTS.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONSTELLATION STRATEGIC CAPITAL LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY TRADING LOSSES, LOST PROFITS, OR LOST DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR $50 IF YOU HAVE NOT PAID US.

10. Termination

You can stop using the Service and delete your account at any time. We may suspend or terminate accounts that violate these Terms or put the Service or other users at risk. On termination, your right to use the Service ends; sections 2, 4, 8, 9, 11, 12, 13, and 14 survive.

11. Indemnity

You agree to defend, indemnify, and hold harmless Constellation Strategic Capital LLC and its members, officers, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Service, (b) Your Data, (c) your violation of these Terms, or (d) your violation of any law or the rights of any third party, including the terms of any broker, trading platform, or prop firm whose credentials or data you use with the Service.

12. Dispute resolution and arbitration

Please read this section carefully. It affects how disputes are resolved, and it includes a waiver of jury trials and class actions.

Talk to us first. Before starting a formal proceeding, you agree to email support@tradeharbor.co with a description of your claim, and to try in good faith to resolve it with us informally for at least 60 days. We agree to do the same before starting a proceeding against you.

Binding individual arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that isn't resolved informally will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, before a single arbitrator. The arbitration may be held by video or phone, or in person in the county where you live or another place we both agree to. Payment of filing, administration, and arbitrator fees is governed by the AAA's rules. The arbitrator's decision is final and may be entered as a judgment in any court with jurisdiction. The Federal Arbitration Act governs the interpretation and enforcement of this section.

Exceptions. Either of us may bring an individual claim in small claims court if it qualifies, and either of us may ask a court for an injunction to stop infringement or misuse of intellectual property or unauthorized access to the Service.

Class action and jury trial waiver. You and we each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate claims of more than one person or preside over any form of class or representative proceeding. You and we each waive the right to a trial by jury. If this class action waiver is found unenforceable for a particular claim, that claim (and only that claim) will be decided by a court under section 13, and not in arbitration.

Opting out. You can opt out of arbitration within 30 days of first accepting these Terms by emailing support@tradeharbor.co from your account's email address with the subject "Arbitration opt-out" and your name. If you opt out, section 13 governs where disputes are heard. Opting out doesn't affect any other part of these Terms.

13. Governing law and venue

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-law rules, except that section 12 is governed by the Federal Arbitration Act. For any claim that isn't subject to arbitration, you and we agree to the exclusive jurisdiction of the state and federal courts located in the State of Georgia, and waive any objection to venue there. Nothing in this section limits any consumer protection rights you have under the laws of the place where you live that can't be waived by contract.

14. General terms

Entire agreement. These Terms, the Privacy Policy, and the plan and price terms shown to you when you subscribe are the entire agreement between you and us about the Service, and replace any prior agreements or understandings about it.

Severability. If any part of these Terms is found invalid or unenforceable, it will be enforced to the maximum extent permitted, and the rest of these Terms stays in full effect (except as section 12 provides for the class action waiver).

Assignment. You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms, without your consent, to an affiliate or in connection with a merger, acquisition, reorganization, or sale of all or part of our business or assets. These Terms bind and benefit each party's permitted successors and assigns.

Notices. We may give you notices by email to the address on your account or in the Service; email notices are effective when sent. You can give us notice by email to support@tradeharbor.co; notices to us are effective when received.

No waiver. Our not enforcing a provision of these Terms isn't a waiver of our right to do so later.

Relationship. Nothing in these Terms creates a partnership, joint venture, employment, agency, or fiduciary relationship between you and us.

15. Changes to these Terms

We may update these Terms. If a change is material, we'll notify you by email or in the app before it takes effect. Continuing to use the Service after changes take effect means you accept the updated Terms.
